Terms of Service

By accessing or using OurTrail (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

You must be at least 13 years of age to use OurTrail. By using the Service, you represent and warrant that you are at least 13 years old. If you are under 18, you represent that you have your parent or guardian's consent to use the Service.

OurTrail is a private trip photo and video sharing platform designed for families and small groups. The Service allows users to create trips, upload photos and videos, invite members, and share memories within private groups.

OurTrail is available on the web at ourtrail.xyz, as well as on iOS and Android mobile applications.

Use of the Service requires the creation of an account through our authentication provider, Clerk. By creating an account, you also agree to Clerk's terms of service.

When creating an account, you agree to:

• Provide accurate, current, and complete information during registration and keep your account information up to date.
• Maintain the security and confidentiality of your account credentials. You are solely responsible for all activity that occurs under your account.
• Use only one account per person. Creating multiple accounts for the same individual is not permitted.
• Notify us immediately if you suspect any unauthorized use of your account.

Ownership.You retain full ownership of all photos, videos, and other content ("User Content") that you upload to OurTrail. We do not claim any ownership rights over your User Content.

Limited License. By uploading User Content, you grant OurTrail a limited, non-exclusive, royalty-free license to store, display, reproduce, and process your User Content solely for the purpose of operating and providing the Service to you and your invited trip members.

No Advertising or AI Training. We will never use your User Content for advertising purposes, sell it to third parties, or use it to train artificial intelligence or machine learning models.

Your Responsibility. You are solely responsible for the User Content you upload. You represent and warrant that:

• You own or have the necessary rights to upload and share the content.
• Your content does not infringe on the intellectual property rights, privacy rights, or any other rights of any third party.
• Your content does not contain illegal, defamatory, obscene, or otherwise objectionable material.

You agree not to use OurTrail to:

• Harass, abuse, threaten, stalk, or intimidate any other user or third party.
• Upload or transmit content that is harmful, hateful, violent, sexually explicit, or otherwise objectionable.
• Attempt to gain unauthorized access to the Service, other user accounts, or any associated computer systems or networks.
• Upload viruses, malware, or other malicious code, or engage in any activity that could damage, disable, or impair the Service.
• Infringe upon or violate the intellectual property rights, privacy rights, or other rights of any third party.
• Use the Service for any commercial purpose without prior written permission from SyntaxLab Technologies.
• Reverse engineer, decompile, or disassemble any part of the Service.

OurTrail uses a role-based permission system for trips. Each trip member is assigned one of the following roles:

• Owner — Full control over the trip, including the ability to manage all settings, members, media, and delete the trip entirely.
• Admin — Can manage trip members and media, including adding or removing members and moderating uploaded content.
• Member — Can upload photos and videos, view all trip media, and favorite content.

Trip owners and admins are responsible for ensuring that their trips are used in accordance with these Terms.

When you delete media (photos or videos) from a trip, the content enters a soft-delete state. During this period, the content is hidden from view but can be recovered.

Soft-deleted content is permanently and irreversibly deleted after 30 days. Once permanently deleted, the content cannot be recovered.

If you delete your account, all of your User Content, trip memberships, and personal data will be permanently removed from the Service. This action is irreversible.

OurTrail relies on third-party services to operate, including but not limited to:

• Clerk — for user authentication and account management.
• Cloudinary — for media storage and processing.
• Convex — for backend data storage and real-time functionality.

While we strive to maintain high availability, OurTrail is not responsible for outages, downtime, or service disruptions caused by these third-party providers. Your use of the Service is also subject to the terms and privacy policies of these providers.

The OurTrail name, logo, brand identity, visual design, and underlying source code are the exclusive property of SyntaxLab Technologies. All rights are reserved.

You may not copy, modify, distribute, or create derivative works based on OurTrail's branding or code without prior written permission.

As stated in Section 4, all User Content remains the property of the respective users who uploaded it.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNTAXLAB TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR SERVICE INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT SHALL SYNTAXLAB TECHNOLOGIES' TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO SYNTAXLAB TECHNOLOGIES FOR USE OF THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without notice, if you violate these Terms or engage in conduct that we determine, in our sole discretion, to be harmful to the Service, other users, or SyntaxLab Technologies.

You may delete your account at any time through your account settings. Upon account deletion, your data will be permanently removed in accordance with Section 7.

Sections 4 (User Content), 9 (Intellectual Property), 10 (Limitation of Liability), and 13 (Governing Law) shall survive any termination of these Terms.

We may revise these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page.

For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you via the email address associated with your account.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue your use of the Service.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which SyntaxLab Technologies is established, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, or in the courts of competent jurisdiction, at the sole discretion of SyntaxLab Technologies.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against SyntaxLab Technologies.
